These Terms govern the use of our digital marketing services and set forth the rights, obligations, and limitations of both the client (“Client”) and Marketing Jasoos. By engaging with us or using our services, you agree to be bound by these Terms.

Services:

1.1 Marketing Jasoos agrees to provide digital marketing services as outlined in the agreed-upon scope of work or proposal. The specific services and deliverables will be defined in writing and mutually agreed upon by both parties.

1.2 Marketing Jasoos retains the right to modify or expand the services and deliverables, provided that such changes are communicated to the Client in writing and mutually agreed upon.

Client’s Responsibilities:

2.1 The Client shall provide Marketing Jasoos with all necessary information, materials, and access required to perform the services. This includes but is not limited to website access, analytics data, creative assets, and relevant business information.

2.2 The Client shall cooperate fully with Marketing Jasoos and provide timely feedback, approvals, and decisions as necessary to facilitate the delivery of services.

2.3 The Client acknowledges that any delays, errors, or omissions caused by the Client may impact the quality and timeliness of the services and relieve Marketing Jasoos of any liability for such impacts.

Payment:

3.1 The Client agrees to pay Marketing Jasoos the agreed-upon fees for the services rendered. Payment terms and schedule will be outlined in the proposal or agreement.

3.2 In the event of late or non-payment, Marketing Jasoos reserves the right to suspend or terminate services until payment is received in full.

3.3 All fees quoted by Marketing Jasoos are exclusive of any applicable taxes, which shall be the responsibility of the Client.

Confidentiality:

4.1 Marketing Jasoos and the Client agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business strategies, trade secrets, customer data, and campaign performance data.

4.2 Marketing Jasoos may disclose such confidential information to its employees, contractors, or third-party service providers on a need-to-know basis, provided they are bound by confidentiality obligations.

Intellectual Property:

5.1 Any pre-existing intellectual property of Marketing Jasoos, including but not limited to trademarks, copyrights, methodologies, and proprietary tools, shall remain the sole property of Marketing Jasoos.

5.2 The Client retains all intellectual property rights in the materials and content provided to Marketing Jasoos for use in the services. The Client grants [Digital Marketing Agency] a non-exclusive, royalty-free, worldwide license to use such materials and content solely for the purpose of providing the services.

Termination:

6.1 Either party may terminate the engagement by providing written notice to the other party. Any termination shall be without prejudice to any rights or obligations accrued prior to the termination date.

6.2 In the event of termination, the Client shall pay Marketing Jasoos for the services rendered up to the termination date, as well as any outstanding fees or expenses incurred.

Limitation of Liability:

7.1 Marketing Jasoos shall not be liable for any indirect, consequential, special, or punitive damages arising out of or related to the services provided, regardless of the cause of action.

7.2 Marketing Jasoos‘s liability shall be limited to the amount paid by the Client for the specific services in question.

Governing Law and Jurisdiction:

8.1 These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].

Entire Agreement:

9.1 These Terms constitute the entire agreement between the Client and Marketing Jasoos and supersede any prior agreements, understandings, or representations, whether written or oral, relating to the subject matter herein.
